MUTUAL NON-DISCLOSURE & PAYROLL PARTNERSHIP AGREEMENT

Parties: Sevendyne (“Company”) and Client Company Related MSA / SOW: date & reference

Parties

Company: Sevendyne Consultancy Services LLP, represented by Ansif Puthenpurayil Ibrahimkutty (Director).

Client Company: Legal name & registered address, represented by authorised signatory.

For confidentiality purposes, the party disclosing information is the Disclosing Party; the recipient is the Receiving Party.

Recitals (summary)

  1. Company provides IT consulting, application development, outsourcing, and related services.
  2. Parties may execute a Master Service Agreement (MSA) and statements of work under which Company provides services or acts as local payroll / employment agent in India.
  3. Either party may disclose confidential information; both wish to protect it under this mutual NDA.

1. Employment / partnership (illustrative commercial terms)

  1. Sevendyne may act as local payroll agent, handling Indian employment contracts on behalf of Client Company where agreed.
  2. For admin / HR handling, Sevendyne may charge a salary commission (often illustrated as ~10% of salary in sample materials — final rate is commercial and set in the MSA). Commission applies while the resource works for the Client Company arrangement.
  3. Hardware, if purchased by Sevendyne on Client’s written order and approved price, is billed separately and treated as Client Company assets under Sevendyne custody as agreed.
  4. Notice: Illustrative sample uses a 3-month notice before ending employment with resources or the partnership between Sevendyne and Client Company, with dues settled in the notice period. Actual notice is fixed in signed agreements.

2. Confidential information

Includes non-public business, technical, financial, HR / payroll, source code, designs, client lists, credentials, and third-party information entrusted to either party — whether oral, written, or electronic — and information marked confidential or reasonably understood as such.

Exclusions: information already known prior to the MSA without breach; information that becomes public without fault of the Receiving Party.

Data handed over for an engagement must be destroyed at end of order unless Client confirms otherwise in writing.

3. Non-disclosure obligations

  • Protect Confidential Information with at least reasonable care.
  • Share only with need-to-know employees / advisors under confidentiality duties.
  • Use only to perform MSA / SOW services.
  • No copying, cloning, or unauthorised system access.
  • If legally compelled to disclose, give prior notice where lawful so the Disclosing Party may seek protective measures.
  • On request: return or destroy Confidential Information and certify compliance.

4. Term

Typically effective from signing until MSA / SOWs end; confidentiality obligations for information already received may continue indefinitely as agreed.

5. Ownership & rights of use (work product)

Programmes, documentation, and work results created under the engagement are created for the Client. Contractor transfers exclusive rights (space, time, content) to use, reproduce, process, and exploit the work product — compensated by the agreed remuneration. Rights pass in the course of creation (Work for Hire style).

Use of Client confidential information by Contractor is limited to performing the contract; no further IP licence is granted.

6. General (sample headings)

  • No obligation to disclose; Confidential Information remains property of Disclosing Party.
  • Jurisdiction: agreed in the signed document (sample client packets may reference EU or India courts — not fixed by this web template).
  • Severability, written modifications, waivers, equitable remedies.
  • Sevendyne remits applicable social / statutory insurances as required by Indian law for employees it employs.
  • Independent contractor relationship — neither party is the other’s partner, employee, or agent unless expressly agreed.
